These Terms and Conditions ("Terms") govern access to and use of our Site and any related products or services we provide (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Business use only

The Services are intended for business users (B2B) in the United States. You represent that you are using the Services for business purposes and not as a consumer.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" means the organization.

2. Privacy

Our Privacy Policy explains how we collect and use information and is incorporated by reference into these Terms.

3. Beta status

The Services are currently offered as a beta. This means features may change, be incomplete, or experience downtime. You understand and agree that beta Services are provided for evaluation and feedback and may not be reliable or available at all times.

4. Changes to the Services and Terms

We may modify the Services and update these Terms from time to time. If we make changes, we will post the updated Terms on this page and update the Effective Date. Your continued use of the Services after changes become effective means you accept the updated Terms.

5. Accounts

To access certain features, you may need an account. When you create an account, you agree to:

  • Provide accurate information (such as a business email and name)
  • Keep your account information up to date
  • Maintain the security of your login credentials

You are responsible for activity that occurs under your account. Notify us promptly at support@vialitic.com if you suspect unauthorized access. We may suspend or terminate accounts as described in Section 13.

6. Acceptable use

You agree not to misuse the Services. You will not:

  • Attempt to access non-public areas of the Services or bypass security measures
  • Reverse engineer, decompile, or attempt to extract source code except where prohibited by law
  • Interfere with the Services, including by introducing malware, automated abuse, or disruptive traffic
  • Use the Services in violation of law or third-party rights

7. Third-party sources and outputs

The Services may display, summarize, transform, or analyze information from public or third-party sources. We do not guarantee that information provided through the Services is complete, accurate, or current.

You are responsible for verifying outputs before relying on them for purchasing, operational, regulatory, or business decisions.

8. Intellectual property

We and our licensors own the Services, including software, design, text, graphics, and logos, except for third-party materials. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes, subject to these Terms.

You may not use our trademarks or branding without our prior written permission.

9. Feedback

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

10. Confidentiality (mutual)

During your use of the Services, you may receive non-public information about us, and we may receive non-public information about you ("Confidential Information"). Each party will use reasonable care to protect the other party's Confidential Information and will use it only as needed to evaluate or provide the Services.

Confidential Information does not include information that becomes public through no fault of the receiving party, or was lawfully known before disclosure.

11. Future paid features

We do not currently charge for access to the beta unless we explicitly agree otherwise in writing. If we later introduce paid plans, pricing, billing terms, and refund terms will be presented at signup, in an order form, or in updated Terms.

12. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, or error-free.

13. Suspension and termination

We may suspend or terminate your access to the Services if we reasonably believe:

  • You violated these Terms
  • Your use creates risk, harm, or legal exposure for us or others

You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification.

14. Limitation of liability

To the maximum extent permitted by law:

We will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

Our total liability for any claim arising out of or relating to the Services will not exceed $100 or the amounts you paid us for the Services in the 12-month period before the event giving rise to the claim, whichever is greater.

Some jurisdictions do not allow certain limitations, so some of the above may not apply.

15. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and contractors from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Services in violation of these Terms
  • Your violation of law or third-party rights

16. Third-party services and links

The Services may include links to third-party websites or services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

17. Governing law and venue

These Terms are governed by the laws of North Carolina, excluding its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Orange County, North Carolina, and you consent to their jurisdiction.

18. General terms

  • Severability: If any provision is unenforceable, the remaining provisions will remain in effect.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.
  • Entire agreement: These Terms and the Privacy Policy form the entire agreement regarding the Services.
